Full Warranty Details:
1. Warranty: Subject to the last sentence of paragraph 2 below, Hastings Manufacturing, LLC. (“Hastings”) warrants to the original Purchaser herein that the equipment manufactured here-under will be free from defects in material and workmanship for a period of five (5) years after the date of shipment; provided, however, that Hastings shall have no obligation with respect to the warranty set forth in this paragraph 1 if Purchaser fails to make any payment.
2. Warranty Disclaimer: The warranty given in the above paragraph 1 is expressly in lieu of all other warranties, including, but not limited to, implied warranties of merchant-ability and fitness for a particular purpose (which are both hereby expressly excluded and disclaimed), and constitutes the only warranty of Hastings with respect to the equipment. Components manufactured by other entities, which are integrated into the equipment manufactured here-under, will be covered for a period of three (3) years after the date of shipment.
3. Exclusive Remedy: The sole obligation of Hastings under the warranty given in the above paragraph 1 and the sole and exclusive remedy available to the original purchaser herein for breach of that warranty is limited, at Hastings’ election, to repair or replacement of equipment that is defective in material or workmanship, normal wear and tear excepted. Hastings’ liability for and and all losses and damages to the original purchaser here-in resulting from any cause whatsoever, including Hastings’ negligence, shall be the strictly limited, at the election of Hastings, to the the repair or replacement of equipment defective in material or workmanship. In no event, including the case of a claim of negligence, shall Hastings be liable for incidental or consequential damages. The sole purpose of the exclusive remedy provided herein shall be to provide the original Purchaser herein with repair or replacement of the equipment in
the manner provided herein. This exclusive remedy shall not be deemed to have failed of its essential purpose so long as Hastings is willing and able to repair or replace defective equipment in the prescribed manner.
